The Team

 

The thriving UK asset management and investment funds practice of this leading global law firm serves both UK-headquartered asset managers, wherever they may invest and wherever their clients may be, and global managers with clients and opportunities in the UK. 

 

We are at the center of our firm's global asset management sector group and lead our global funds group.  We work closely with our colleagues across the globe, in Western Europe in particular Luxembourg, in the US and Canada, in Asia in particular India and Singapore, across the Middle East, as well as in Australasia and Africa. 

 

We act for a range of fund managers from large institutions to boutique, emerging fund managers, and for the full gamut of LP clients, such as insurers, pension funds, sovereign wealth funds and other public institutions and banks. We have a strong impact fund practice, with development finance institutions an important segment of our client base.

 

We advise clients on the full range of their investment funds work, including fund structuring, fund formation and LP services work, as well as advise on corporate transactions in the asset management space. We work closely with our regulatory team providing regulatory advice to asset managers and on fundraising, including financial promotions and AIFMD. 

 

We have a strong listed funds presence in addition to our private funds practice. 

 

The Role

 

You will have experience working on funds transactions and have some knowledge of the regulatory backdrop as it relates to investment funds (specifically AIFMD and the UK's financial promotion regime).  You will also have a reasonable understanding of partnership law in the UK. Capital markets experience will also be helpful but not essential. 

 

The role will involve drafting and negotiating fund documentation including limited partnership agreements and side letters; drafting documentation in relation to the establishment of new managers and advisers including shareholders' agreements and LLP agreements; reviewing fund documentation for institutional investors and preparing client focussed due diligence reports, drafting and negotiating investment management agreements, fund administration agreements and other outsourced service provider arrangements .

 

You will also have the opportunity to be involved in capital market transactions for listed funds, including IPOs and subsequent fundraising and schemes of arrangements.

 

You will have an interest in developing your investment funds expertise, doing a mix of transactional and advisory work, and joining an ambitious but friendly team in a fast-moving environment.

 

You will maintain and grow client relationships, contribute to business development and thought leadership, raising your own profile and supporting the continued growth of the practice.

 

The role would be ideal for a 2 to 5 year PQE lawyer; however, we would consider candidates that are more senior.

 

Required experience, skills, and attributes

 
You will take a prominent role on a wide range of funds transactional and advisory mandates, working with colleagues within the funds team and elsewhere to deliver a first-class client service. In addition, you will be accountable for: 

 

  • Building and maintaining client relationships.
  • Contributing to business development.
  • Coaching and mentoring more junior members of the team.
  • Contributing to thought leadership and raising the profile of the firm externally.
  • The role will be particularly attractive to applicants who wish to increase their exposure to and direct experience of more significant corporate transactions and cross-border work for blue chip clients.

 

Technical Skills

 

  • Strong experience in private and/or listed funds work.
  • 2 to 5 PQE.
  • Ability to work with a degree of independence where appropriate.
  • Project management and team working.
  • Strong drafting skills and legal research ability.
  • Strong academic record, including a degree or equivalent.
  • Financial, commercial and business awareness.
  • Ability to contribute to and participate in client pitches.
