The Team/ The Department
Our DCM, Structured Finance & Derivatives team works on a broad range of UK and international transactional matters, including debt capital markets, structured finance/cash securitisation, OTC derivatives, securitised derivatives (repackagings and structured products), synthetic securitisation and Islamic finance/sukuk.
The London team currently comprises [13] partners, [19] Lawyers and [5] trainees, legal apprentices and paralegals.
The team's clients include some of the leading global banks, finance companies, pension funds, credit funds, asset managers, insurers, rating agencies and corporates, and transactions range from mid-market domestic deals to large international/cross-border financings and restructurings.
The team is seeking a highly motivated junior associate with up to 2 years’ post-qualification securitised derivatives and/or synthetic securitisation experience.
Whilst being part of the wider transactional DCM, Structured Finance & Derivatives team, the candidate will be primarily focused on supporting the securitised derivatives and synthetic securitisation work undertaken within the practice. This particular workstream encompasses a broad range of complex securitised derivative products, with a particular emphasis on SPV-based structured finance transactions, synthetic securitisations, repackagings and credit-linked notes, but also covering other asset classes such as equity, index, commodities and repo-backed financings.
Our clients for this type of work include some of the world's leading financial institutions and financial investor/fund clients.
This is a relatively new, but rapidly growing, area for the firm and so this is a unique opportunity to be part of a dynamic group at the forefront of complex structured finance transactions, with direct access to market-leading practitioners and first-rate training and to play a key role in building and shaping the team’s future success, gaining exposure to high-profile matters and clients from the outset.
Responsibilities
- Assist in advising clients on a broad range of securitised derivatives and/or synthetic securitisation transactions.
- Draft, review, and negotiate transaction documents under the supervision of senior team members and the lead partner.
- Conduct legal research and due diligence in relation to securitised derivatives and/or synthetic securitisation matters.
- Liaise directly with clients, counterparties, and other advisers to progress transactions efficiently.
- Support business development initiatives and contribute to the team’s growth strategy.
- Participate in internal and external training sessions to further develop technical and commercial skills.
- Maintain up-to-date knowledge of relevant legal and market developments.
Required experience, skills, and attributes
- Excellent academics with great legals skills.
- Excellent transactional and management skills gained in a similar legal environment.
- Experience in transactional securitised derivatives / synthetic securitisation.
- Experience in repackaging's / credit and equity linked notes preferred.
- Candidates should have exposure of other international private practice firms / relevant In House Legal experience.
