Position Summary:
Our Montreal office is currently seeking an intermediate level Corporate Paralegal to join our Corporate Services team. The role requires a confident and reliable individual who has the ability to manage multiple tasks and adapt to changing priorities. The successful candidate will be organized, possess a high level of client-care with a confidential work approach and be able to provide exceptional service to both our internal and external clients. There is an emphasis for this position on an ability to multi-task, attention to detail and a strong willingness to be an “early adopter” of new technologies.

 

Principal Duties and Responsibilities:

  • Supporting in transactional matters in the context of mergers and acquisitions, equity financings and corporate reorganizations (organization, drafting and follow-up)
  • Prepares corporate documentation relating to incorporations, organizations, amendments, continuances, amalgamations, extra-provincial registrations, dissolutions and other reorganizations, including tax reorganizations, share and asset purchase.
  • Generation of annual return packages (including annual returns and resolutions) for Québec and Federal entities and monitoring of applicable deadlines for the minute books under your responsibility.
  • Preparation and coordination of extra provincial annual returns and renewals for corporations, business names, partnerships and limited partnerships across Canada.
  • Electronic filing of annual returns and notices for Québec and Federal entities including compliance with the new corporate transparency rules (reporting of ISC and UBO information).
  • Manages and maintains updated the corporate database and corporate records for electronic minute books under your responsibility.
  • Communication with corporate clients.
  • Participates in special projects in response to firm initiatives.
  • Other duties as assigned.

 

Knowledge & Experience Required:

  • Minimum of 3 to 7 years’ experience in a Corporate Services Department.
  • Excellent drafting skills in French and English.
  • Excellent verbal and written communication skills in French and English.
  • College diploma in Paralegal Technology or an equivalent diploma.
  • Knowledge of legal procedures, statutes and regulations applicable to commercial and corporate law.
  • A high level of accuracy, attention to detail and time management skills.
  • Strong interpersonal skills with the ability to deal with clients directly in a professional manner.
  • Communicates in a clear and precise manner.
  • Demonstrates a team approach and supports colleagues.
  • Ability to work in a fast-paced environment and manage multiple priorities to meet necessary deadlines.
  • Advanced computer skills; proficient with MS Word, Outlook and Excel.
  • Proficiency with Athennian is an asset.

 

Please note that due to the responsibilities of the position, a proficient level of English is required, particularly to communicate on a daily basis with employees, managers and executives outside of Quebec. Additionally, the position’s responsibilities include drafting and analyzing legal documents in English, and providing recommendations.
